Objectives and Key Deliverables

The goal of the project is to assist an internationally active cloud company in identifying suitable US acquisition targets in the cloud managed services space. Key acquisition criteria are as follows:

- Cloud managed services based business
- Financials: turnover of ~$5-$10m, EBITDA of $1-$2m
- Growing fast with high proportion of recurring revenues
- Based on US North East Coast (somewhere between Boston and Atlanta)
- Good client base
- Good sales personnel
- Good technical services personnel
- Good vendor relationships
- Quality branding would be beneficial but not essential
- The main objective of this acquisition is to accelerate our US market entry rather than making a technology focused purchase
- As a result companies that don’t have their own cloud platform are preferred (i.e. cloud is the direction they want to move but lack capital)
- Companies that own their own datacenters should be excluded as targets
- Ability to cut overheads and increase EBITDA post acquisition would be seen as a plus
- Current owners are open to explore a sale of the business

The goal of this project is to identify 3-5 highly relevant targets (based on criteria described above) that we can engage in discussions.

Our preliminary thoughts on project scope (to be further discussed and refined with relevant candidate) are as follows:

- Identification of potential targets (e.g. through desktop research, activating your own network, calling industry experts, industry / business associations, etc.)
- Screening of potential targets according to acquisition criteria
- Creation of shortlist (with our feedback and input) of most relevant acquisition targets for us to engage in further discussions

We are not focused on specific outputs.

Consultants should be able to work independently. Should be mature and confident enough to interact with business owners (finding out key facts about company and gauging owner's interest to sell).

Cloud knowledge / experience a plus but not required; the consultant will be briefed and provided a script of questions to run through with targets for pre-qualification
