Objectives and Key Deliverables

We are a private equity backed marketing services company looking to bring in a Corporate Development Director to establish an M&A function and drive forward the acquisition agenda

This is a new position to the business. The executive will be a core member of the leadership team and report directly to the CFO.

The company is seeking a hands on leader who is able to drive an active M&A agenda to meet the speed at which the highly fragmented Marketing Services market is consolidating. There is no incumbent M&A team in the business so this will be a new role. In addition to the position specifications below, the company is looking for an executive who is able to implement and instill an M&A culture across the organization, and execute a strategy that leads to new and sustainable structures and processes for the business going forward. While the position would be based in company’s global HQ London, it has a global remit. Our current thinking is for 2-3 deals per year in the $2-5m EBITDA range.

Position specification

Manage end to end M&A activities (origination, evaluation, structuring, execution) in close cooperation with the Executive Committee members and EMEA, Americas, APAC regional heads. This includes activities such as:

• Formulation of an M&A prioritization framework that can be rolled out regionally
• Mapping, evaluation, and ongoing monitoring of an M&A target list with the help of external advisors and intermediaries; particular focus on data, digital, moving image and Sourcing. Global geographical remit
• Leading/coordinating the due diligence and closing process for late stage opportunities with support from regional heads; construction of target company business plans, cost/revenue synergy potential and strategic rationale for combination
• Plan and drive the post-merger integration of acquisitions together with the regional heads and functional managers
• Preparation of post acquisition reviews as required, including opportunities for value creating divestments
• Contribute to Group strategy; partner the regional heads with development and implementation of their strategy relating to M&A, joint ventures/partnerships and divestments.
• Build a culture of excellence in standards of deal execution, financial analysis and due diligence. This includes assigning owners, developing outputs and implementing mandatory reviews/approval.
• Define and roll out reporting templates for Exco / Board discussions
• Help build the company’s M&A capability through external recruitment

Job Requirements

• 1st Class or good 2nd Class degree
• ACA / CIMA and / or MBA and / or other evidence of ability to work with financial information
• Proven business and financial skills
• Substantial M&A / corporate transaction experience, including clear evidence of having led M&A and joint venture processes from inception, through diligence and detailed negotiation to closing and (ideally) post acquisition integration
• Experience of strategic planning and / or strategic review projects; and
• Likely to come from an existing corporate development team or corporate finance advisory background

• Team player; versatile and comfortable engaging with people from different cultures
• Willing to travel globally
• Ideally background from tier 1 Investment bank or relevant operational experience in large corporates (>€200m sales)
• Prior PE experience helpful
• Language capabilities: English
